Important: Please read these Terms and Conditions carefully before using ZIPME services. By accessing or using our services, you agree to be bound by these terms.
1. Acceptance of Terms
These Terms and Conditions constitute a legally binding agreement between you and ZIPME Logistics Inc. ("ZIPME," "we," "us," or "our") regarding your use of our shipping, freight, and logistics services.
By creating an account, placing a shipment order, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, along with our Privacy Policy.
If you do not agree to these terms, you must not use our services. We reserve the right to modify these terms at any time, and such modifications will be effective immediately upon posting.
2. Service Description
ZIPME provides comprehensive logistics services including but not limited to:
- Domestic and international parcel shipping
- Freight and cargo transportation
- Package tracking and monitoring
- Warehousing and storage solutions
- Express and same-day delivery options
- Customs clearance assistance
- Supply chain management services
Service availability, delivery times, and pricing may vary based on origin, destination, package specifications, and selected service level. Not all services are available in all locations.
3. User Account and Registration
3.1 Account Creation: To use certain features of our services, you must create an account. You agree to provide accurate, current, and complete information during registration.
3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access to your account.
3.3 Account Eligibility: You must be at least 18 years old to create an account. Business accounts must be authorized by the company's authorized representative.
3.4 Account Termination: We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent, abusive, or illegal activities.
4. Shipping Terms and Conditions
4.1 Package Acceptance: We reserve the right to refuse shipment of any package that violates prohibited items list, applicable laws, or poses a safety risk.
4.2 Prohibited Items: The following items are strictly prohibited from shipment:
- Illegal drugs, narcotics, or controlled substances
- Weapons, firearms, ammunition, or explosives
- Hazardous materials without proper documentation and approval
- Perishable goods without appropriate packaging and service selection
- Currency, precious metals, or negotiable instruments exceeding declared limits
- Live animals (except as specifically arranged)
- Counterfeit goods or items that infringe intellectual property rights
- Human remains or body parts
4.3 Packaging Requirements: You are responsible for properly packaging items to withstand normal shipping conditions. ZIPME is not liable for damage resulting from inadequate packaging.
4.4 Accuracy of Information: You must provide accurate sender and recipient information, correct package dimensions, weight, and declared value. Incorrect information may result in delays, additional charges, or return of shipment.
4.5 Delivery Times: Estimated delivery times are not guaranteed unless specifically stated in writing. Delays may occur due to weather, customs, natural disasters, or other circumstances beyond our control.
4.6 Delivery Attempts: We will make up to three delivery attempts. After unsuccessful attempts, packages may be returned to sender or held at a facility for pickup, subject to storage fees.
5. Pricing and Payment
5.1 Shipping Rates: Prices are based on package weight, dimensions, destination, service level, and any additional services requested. Rates are subject to change without notice.
5.2 Additional Charges: Additional fees may apply for:
- Remote area delivery surcharges
- Residential delivery fees
- Address correction charges
- Customs duties, taxes, and clearance fees
- Storage fees for unclaimed packages
- Special handling or oversized package fees
- Fuel surcharges
5.3 Payment Terms: Payment is due at the time of shipment unless credit terms have been established. We accept major credit cards, debit cards, and approved business accounts.
5.4 Currency: All prices are quoted in US Dollars unless otherwise specified. International customers may be charged in local currency at current exchange rates.
5.5 Billing Disputes: Any billing disputes must be raised within 30 days of the invoice date. After this period, charges are considered accepted.
6. Liability and Insurance
6.1 Limitation of Liability: ZIPME's liability for loss or damage to shipments is limited to the lesser of $100 per package or the declared value, unless additional insurance is purchased.
6.2 Insurance Options: Additional insurance coverage is available at the time of shipment for items with declared value exceeding standard liability limits.
6.3 Claims Process: Claims for lost or damaged shipments must be filed within:
- Domestic shipments: 60 days from shipment date
- International shipments: 90 days from shipment date
6.4 Exclusions: We are not liable for:
- Acts of God, natural disasters, or force majeure events
- Government actions, customs seizures, or quarantine
- Damage resulting from improper packaging
- Inherent vice or nature of the goods
- Indirect, consequential, or special damages
- Loss of business, profits, or opportunity
6.5 Maximum Liability: In no event shall ZIPME's total liability exceed the total shipping charges paid for the affected shipment.
7. International Shipping
7.1 Customs Compliance: Shippers are responsible for providing accurate customs documentation, including commercial invoices, packing lists, and certificates of origin.
7.2 Duties and Taxes: Recipients are responsible for all import duties, taxes, and customs charges unless alternative arrangements are made in advance.
7.3 Prohibited Destinations: We do not ship to countries subject to international sanctions or embargoes. A complete list is available upon request.
7.4 Export Compliance: Shippers must comply with all export control laws and regulations. ZIPME is not responsible for violations of export regulations.
8. Privacy and Data Protection
Your use of ZIPME services is also governed by our Privacy Policy. We collect, use, and protect personal information in accordance with applicable data protection laws including GDPR and CCPA.
By using our services, you consent to the collection and use of information as described in our Privacy Policy, including sharing necessary information with carriers, customs authorities, and delivery partners.
9. Intellectual Property
All content on the ZIPME website and mobile applications, including text, graphics, logos, icons, images, and software, is the property of ZIPME or its licensors and is protected by copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works, publicly display, or exploit any content without our express written permission.
10. Dispute Resolution
10.1 Governing Law: These Terms and Conditions are governed by the laws of the State of Minnesota, United States, without regard to conflict of law principles.
10.2 Arbitration: Any disputes arising from these terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except where prohibited by law.
10.3 Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits.
10.4 Venue: If arbitration is not applicable, disputes shall be resolved in state or federal courts located in Warroad, Minnesota.
11. Indemnification
You agree to indemnify, defend, and hold harmless ZIPME, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:
- Your violation of these Terms and Conditions
- Your shipment of prohibited or restricted items
- Your violation of any law or regulation
- Infringement of third-party intellectual property rights
- Inaccurate or misleading information provided by you
12. Modifications to Terms
ZIPME reserves the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after modifications constitutes acceptance of the updated terms.
We will make reasonable efforts to notify users of significant changes via email or website notification.
13. Termination
We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including breach of these Terms and Conditions.
Upon termination, your right to use our services will immediately cease. All provisions that should reasonably survive termination will continue, including liability limitations, indemnification, and dispute resolution.
14. Severability
If any provision of these Terms and Conditions is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
15. Entire Agreement
These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and ZIPME regarding the use of our services and supersede all prior agreements and understandings.

17. Additional Service-Specific Terms
17.1 Express Services: Express and same-day delivery services are subject to availability and geographic limitations. Money-back guarantees apply only when explicitly stated in service agreements.
17.2 Warehousing Services: Storage fees accrue daily after the included storage period. ZIPME reserves the right to dispose of goods after 90 days of non-payment or abandonment.
17.3 White Glove Service: Specialty delivery services include additional terms regarding scheduling, access requirements, and recipient availability.
17.4 Volume Shipping: Business customers with negotiated rates agree to minimum volume commitments as specified in separate service agreements.
Acknowledgment
By using ZIPME services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please discontinue use of our services immediately.
